Tay Hydro is an Ontario Energy
Board licensed electricity distribution company. Tay Hydro is a local distributor of
hydro to a handful of towns and rural areas in Simcoe County. We supply the needs of
our customers in Waubaushene, Victoria Harbour, Port McNicoll, Methodist Island and
surrounding rural areas.

A strategic plan is created by the Board of
Directors and reviewed annually. The plan provides information
to the shareholder on the long term direction, as well as
operating and capital budget projections, for the company.
It also gives senior management direction for the development
and operation of the business.
The strategic plan is confidential to the shareholder, Board
of Directors, Officers, and senior management of the company.
A firm understanding of the strategic plan as
a basis for all decisions and actions is required for the
efficient and effective performance of Tay Hydro. The Shareholder
Declaration requires a long range five year plan to be developed,
which will be submitted to the Shareholder no more than 60
days prior to the end of each fiscal year.

Phil Daniels offers over thirty years of experience as a trusted advisor to senior management
and boards in private, public and non-profit organizations in Canada, the United States, the Caribbean and Europe.
He also has over fifteen years of supervisory, management and leadership experience. He is an accomplished speaker,
presenter and consensus builder. Five years before joining Stevenson and Kellogg in 1979 (now KPMG), he started his
first professional services practice. During his twelve years with S&K, Phil managed the Human Resources/Organization
Effectiveness practices that accounted for 20% of the firm’s revenues.
In 1991 Phil established Phil Daniels Consulting.
He has continued to serve a wide range of clients. Many of his client relationships are of long standing. His board
experience began in 1982 as a member of the Board of Kinark Child and Family Services. During his tenure, he served
on the Finance and Human Resources Committees before serving two years as Board Chair. His other community experience
includes the Home Care Program of Metropolitan Toronto (Finance and Human Resources Committees; Board Chair) and the
Board of the College of Psychologists of Ontario. Phil’s board exposure moved to the private sector in 1995 when he
was asked to join the Board of Directors for Chapters Inc.
As a Director until 1999, he was a member of the Compensation and Governance Committee. Currently, he serves on two boards.
Franchise Bancorp Inc. is a retail company that operates across Canada under the brands Living Lighting, The Pandhandler,
Rafters and Global Pet Foods. He served as Chair of Newmarket Hydo Holdings Inc. Board of Directors. The company amalgamated
with Tay Hydro in 2007 to form Newmarket-Tay Power Distribution Ltd. Phil was asked to continue as a Director and Chair of
the new company. On the basis of all his experience, Phil can make contributions in a variety of industries and areas of
corporate oversight including strategic implementation, leadership effectiveness, structure and governance.

Andy has been a resident of Tay Township since January 1997 and a Director of the Tay Hydro Group of Companies since de-regulation began in 2000. Andy offers over 28 years experience in the financial services industry - during this career he has held various senior management positions and is currently an Investment Advisor with RBC Dominion Securities Inc. Andy is also a Director with the Community Development Corp. and volunteers with such Committees as the local Hospital Foundation. After having been a member of the Newmarket / Tay Hydro Merger Team - Andy is proud to join the Board of Newmarket - Tay Power Distribution Ltd.

Scott Warnock is serving his fourth term on Tay Township Council and his first as Mayor.
Scott and his wife Mary live in Victoria Harbour and have three sons and two granddaughters. Scott came to the political world after a lengthy career in broadcasting with stops in Huntsville, Midland and Barrie. Scott is an active member of the sports community in Tay Township coaching minor baseball, running a flag football league and sponsoring youth soccer. Scott also is still active with music with his own award winning mobile disc jockey service.
Scott is looking forward to the challenges and the opportunities that lie ahead with the newly amalgamated Newmarket-Tay Power Distribution Ltd.

Paul Nelson is a 34 year resident of Newmarket, 52 year resident of York Region, married with 3 grown children.
He is a senior project manager with a major international consulting firm that deals in all areas of water, wastewater, transportation and environmental infrastructure, as well as the development of multi-stakeholder business solutions.
Paul brings 25 years board of directors experience to our organization including terms with: Transitional & Supportive Housing Services of York Region, 9 years as President and Board Chair; 3 years as a member of the Newmarket Library Board; and the past 13 years as a Newmarket Hydro Commissioner and Director, including 3 years as Board Chair.
Mr. Nelson has been a hands-on member of Newmarket Hydro’s power industry transition team over the past several years while helping address regulatory and market re-organization steps, formation of the Upper Canada Energy Alliance, establishing new competitive rates, and investigating electrical utility amalgamation opportunities, including Newmarket’s spring 2007 merger with Tay Hydro.
Paul is also experienced in other hydro industry subject areas such as energy conservation and demand side management, smart metering, strategic planning, corporate governance, and financial, safety and risk assessment programs.

Tom Taylor is a lifelong resident of Newmarket.
He is married to Kate and they have four children and
ten grandchildren. Mr. Taylor has always been very active
in the community and strongly supports many social and
environmental causes and is a recipient of the Governor
General of Canada award for Community Service. As Mayor
of the Town of Newmarket from 1997 - 2006, and also presently
active on numerous committees and boards, he is well known for his hands on approach.
It is because of Mr. Taylor’s visionary ability
and his tireless efforts there now exists a walkway
system that runs along both sides of the Holland River.

Paul Ferguson is an accomplished senior
manager within the electric utility industry in Ontario.
His professional experience spans 27 years. Currently
a Director and President of Newmarket Hydro Ltd., Paul’s
background also includes 12 years extensive experience
with Ontario Hydro in senior positions in Operations
and Protection and Control. In addition, he holds memberships
in the Institute of Electrical and Electronic Engineers
and the Ontario Electrical League as well as the Electricity Distributors
Association.
In 2003, he was appointed to the Board of Directors
of Ontario’s Independent Electricity Market Operator
as a stakeholder director representing the electric
distribution constituency. At the completion of his
appointment in February of 2004, the Board retained
him as a stakeholder consultant for the distribution
constituency. With the reconstitution of the IMO into
the Independent Electric System Operator in late 2004
under an independent Board of Directors, Mr. Ferguson
completed his responsibilities in this capacity.
As President of Newmarket - Tay Power Distribution Ltd., he is leading
a mid-size distribution utility that is enjoying a position
of financial and market competence since the inception
of Ontario’s open electricity market.

Tony Van Bynen has been a resident of Newmarket for twenty six years. Roxanne and Tony have two children and one grandson. Tony retired from the banking business and then chose to toss his hat into municipal politics. Tony is enjoying his first term as Mayor of Newmarket following one term as a Councillor and the next term as Regional Councillor.
Tony has always been active in the community having been a founding director of the Newmarket Chamber of Commerce, Newmarket Ratepayers Association, former Director of York County Hospital Foundation, founding member of Downtown Development Committee and former member of the Newmarket Seniors’ Meeting Place. Today he and wife Roxanne are active volunteers for the Inn From the Cold and continue to be actively involved with the Persechini Easter Seal Run Walkathon.
As Mayor, Tony is a member of all Town of Newmarket standing committees, member of York Region Council and Chair of York Region Finance and Administration Committee, a member of the following York Region committees – Audit, Community Services and Housing, Transit and the Community Reference Group. As well Tony sits as a Director on the Newmarket-Tay Power Distribution Ltd. and Southlake Regional Health Centre Boards. Tony is a Beatles fan and collects Beatles memorabilia.
